Changes In Bylaws
23 a. Proposals to introduce new bylaws or to amend or to replace existing bylaws shall be presented to the Board of Directors and signed by at least fifteen voting members or five percent of the voting members, which is the lesser. Proposal must reach the Secretary not later than six months prior to the next Annual General Meeting if the same is to be considered at that next Annual General Meeting of the Association.
b. A two-thirds majority of votes cast shall be necessary to introduce new bylaws, to amend or appeal existing bylaws. Members unable to attend an Annual General Meeting of the Association at which bylaws are being considered may vote on such bylaws by proxy, provided such proxy papers are registered at the beginning of said Annual General Meeting.
c. No change in the bylaws shall be voted on at such annual meetings unless thirty days notice of such proposed change has been mailed to the membership.
d. Bylaws or regulations not embodied by the Letters Patent may be appealed or amended but such variations or amendments shall not be in force or acted upon until approval of the Minister of Consumer and Corporate Affairs for Canada has been obtained.
