Officers of the Association


16 a. The elected officers of the Association shall be the President, the Vice-President, the Secretary, the Treasurer and two other officers with no specifically designated responsibility other than that given to them by the Board of Directors or than that set out in the bylaws. Said officers shall be elected as set out in section 13.

b. The President

The President shall be the Chairman for the Board of Directors and shall have general supervision of the affairs of the Association and shall be ex-office member of all committees. The President shall do and perform all other duties applicable to the office as set out in the bylaws including the signing of all documents requiring the Corporation seal of the Association.

c. Vice-President

In the absence of the President, the Vice-President shall act as Deputy and while acting as Deputy shall perform the same functions and have the same powers as the President.

d. Secretary

The Secretary shall attend all meetings of the Association and of the Board of Directors and shall take the minutes of the proceedings. The Secretary shall be in responsible charge under the Board of Directors of all the properties of the Association including the Corporation seal. The Secretary shall transact the business and conduct the correspondence of the Association and shall keep records of same. The Secretary shall sign and affix the seal of the Association to all documents requiring certification. The Secretary shall notify all new members of their election to the Association and shall keep a record of their names, dates of election, last known address and dates of retirement, expulsion or suspension without prejudice. The Secretary shall notify members of the Association and of the Board of Directors of the place and date of all meetings at which they are entitled to be present. The Secretary shall perform all other duties as may be assigned to him by the Board of Directors.

e. Treasurer

The Treasurer shall have the care and custody of all the funds and securities of the Association and shall deposit the same in the name of the Association in such bank or banks or with such depository or depositories as the Board of Directors may direct. The Treasurer shall perform such other duties, as the Directors require of him. The Treasurer may be required to give such bond of the faithful performance of his duties as the Board of Directors, in their uncontrolled discretion, may require and no Director shall be liable for failure to require any bond or for the insufficiency of any bond or for loss by reason of failure or the Corporation to receive any indemnity thereby provided.

f. The Board of Directors may from time to time appoint an Executive Director and may delegate to him full authority to manage and direct the business and affairs of the Corporation (except such matters and duties as by law must be transacted or performed by the Board of Directors or by the members in general meeting). The Board of Director may employ and discharge agents and employees of the Corporation or may delegate to an Executive Director any lesser power. An Executive Director shall conform to all lawful orders given to him by the Board of Directors and shall at all reasonable times give to the Directors or any of them all information they may require regarding the affairs of the Association.
